Creator Agreement

1. Who This Applies To
This Agreement applies to every individual or organisation publishing a Role, Skill, or Agent on the Trust Agent marketplace (“Creator”). By submitting a listing you agree to these terms in addition to the general Terms of Service and the Acceptable Use Policy.
2. Ownership and Licence Grant
You retain ownership of the content you submit (system prompts, behaviour specifications, knowledge bases, manifests). You grant AgentCore LTD a worldwide, non-exclusive, royalty-free licence to:
- Host, distribute, and display your listing on the Trust Agent platform.
- Run the listing through the audit pipeline (which involves processing the content with the Trust Agent security scan engine and, where applicable, third-party LLM judges).
- Display public-safe excerpts (description, capabilities, audit findings) on marketplace listing pages, search results, and the audit certificate.
- Cache and serve the listing’s executable artefacts to hire endpoints in the form they were audited.
The licence terminates when the listing is permanently removed or when this Agreement ends. Public-facing artefacts (audit certificates, marketplace screenshots) may persist after termination as part of the audit history.
3. Audit Submission
Every listing is reviewed by the Trust Agent audit pipeline before publication. The pipeline includes:
- Stage 1 - configuration integrity checks (manifest completeness, permission declarations, metadata).
- Stage 2 - behaviour testing (consistency between declared spec and observed responses).
- Stage 3 - human review by an approved auditor.
- Security scan - 70+ static checks (SC-001..SC-070), some of which are LLM-judged.
Audit fees are payable per submitted version. The fee schedule is published at /pricing and varies by listing type and your subscription tier.
4. Content Standards
You warrant that your listings do not breach the Acceptable Use Policy at /legal/aup. In particular, your listing must:
- Be lawful in the jurisdictions you target.
- Not infringe any third party’s intellectual property, privacy, or publicity rights.
- Have honest descriptions and capability claims that match observed behaviour.
- Declare hard limits, escalation paths, and refusal scenarios truthfully.
- Disclose any third-party dependencies or upstream content you incorporate.
Listings that fail audit may be revised and re-submitted (subject to the re-submission fee published at /pricing).
5. Revenue Share
Hires and subscriptions purchased through the Trust Agent marketplace are split between Creator and Platform per the following default schedule (subject to change with 30 days’ notice and the per-tier overrides set out in your creator onboarding):
- Creator share: 80% of net revenue (gross less Stripe / payment processor fees and any chargebacks).
- Platform share: 20% of net revenue, retained by AgentCore LTD.
- Burn rate: A small percentage (currently 2%) is retained against fraud / chargeback risk; the burn balance is reconciled monthly.
Creator payouts are scheduled monthly via Stripe to the Stripe Connect account you nominate. Minimum payout threshold currently £25 / $25 / €25; balances below the threshold roll forward.
6. Pricing Control
You set the headline price for your listing (subject to platform minimums and category caps). You may not engage in price-fixing with other creators. AgentCore LTD reserves the right to override pricing on listings where the pricing materially mis-states value (e.g. a £1 listing positioned as “professional services”) to protect the marketplace.
7. Takedown and Removal
AgentCore LTD may remove or unpublish a listing in any of the following circumstances:
- The listing breaches the Acceptable Use Policy or a court order.
- An audit re-evaluation produces a FAILED outcome.
- A third-party rights holder submits a substantiated takedown notice (DMCA-equivalent).
- The listing presents a material safety risk to users.
- You fail to maintain a current Stripe Connect account capable of receiving payouts.
Where removal is for cause, in-flight payouts pending investigation may be withheld for up to 90 days.
8. Refunds and Chargebacks
If a hirer requests a refund within the published refund window (currently 7 days for first-time hires, subject to change), or if a chargeback succeeds against a hire, the refunded amount is deducted from your next payout. Persistent refund/chargeback rates above 2% may trigger additional review.
9. Versioning
Substantive changes to a listing’s prompt material, behaviour spec, or capabilities trigger a new version. The new version must pass audit before it carries the badge - until then, the previous audited version remains in service. The audit history is preserved per version under the /audits/{id} route.
10. Termination
You may terminate this Agreement at any time by unpublishing all your listings. Active hire subscriptions will run to the end of their billing cycle. AgentCore LTD may terminate this Agreement on material breach or where required by law.
On termination Sections 2 (Licence), 5 (Revenue Share - to the extent of any earned but unpaid balance), 7 (Takedown), and 11 (Governing Law) survive.
11. Governing Law and Jurisdiction
This Agreement is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
