Last updated: 6 May 2026 - AgentCore LTD - Company No. 17114811

Draft. This document is an AI-drafted starting point pending counsel review. The operative terms remain those agreed in your subscription contract until this draft is countersigned.

1. Software Covered

This EULA covers the locally-installed Trust Agent components:

  • The Trust Agent Widget (Windows / macOS / Linux desktop app and system-tray pill that surfaces live agent activity).
  • The Trust Agent CLI (trust-agent-cli npm package and the ta command).
  • The Trust Agent MCP server (trust-agent-mcp binary that mediates between your AI tools and the Trust Agent backend).
  • Any updater, installer, or auxiliary executable distributed by AgentCore LTD alongside the above.

2. Licence Grant

AgentCore LTD grants you a non-exclusive, non-transferable, revocable licence to install and use the software on devices you own or control, solely to access the Trust Agent service under an active account.

The licence is co-extensive with your account: it begins when you install the software and ends when you uninstall it, when your account is terminated, or when this EULA is replaced by a successor agreement.

3. Restrictions

You may not:

  • Reverse-engineer, decompile, or disassemble the software, except to the limited extent UK law expressly permits notwithstanding this restriction.
  • Modify, adapt, or create derivative works of the software for redistribution.
  • Remove or obscure copyright, trademark, or other proprietary notices.
  • Use the software to build a competing product, service, or marketplace.
  • Sublicense, rent, lease, or sell the software, or use it as part of a managed-service offering, without our prior written consent.
  • Attempt to bypass licence enforcement, telemetry, or update channels.

4. Open-Source Components

The software incorporates open-source components, including but not limited to Electron, Node.js, and various npm packages. Each is governed by its own licence (typically MIT, Apache 2.0, or BSD). A complete list ships with the application under the “Open-Source Notices” menu item. Nothing in this EULA limits the rights granted by those upstream licences.

5. Telemetry and Updates

The widget polls the Trust Agent backend at regular intervals to fetch live agent activity. The CLI / MCP send heartbeats so the platform can show “live” status in the dashboard. These exchanges include your API key, hostname, and process metadata - never the contents of any session.

Updates may be downloaded automatically. You can disable auto-update from the widget’s tray menu; doing so does not relieve you of compatibility issues with future backend versions.

6. Local Data

The widget stores configuration in ~/.trustagent/config.json (your API key, server URL, last-active bundle). The MCP and CLI use the same file. This is local to your device; you are responsible for protecting it from unauthorised access.

If you delete the file the software will prompt you to sign in again.

7. No Warranty

The software is provided “as is”. To the maximum extent permitted by law AgentCore LTD disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, secure, or free from defect.

8. Limitation of Liability

To the extent permitted by law, AgentCore LTD's aggregate liability arising out of or in connection with the software shall not exceed the greater of (a) the fees you paid for the relevant subscription period in which the cause of action arose, or (b) £100. Nothing in this EULA limits liability that cannot be limited under English law (including liability for death, personal injury caused by negligence, or fraud).

9. Termination

This EULA terminates automatically when your account is closed, when you uninstall the software, or upon material breach of the terms. On termination you must uninstall every copy of the software.

Sections 3 (Restrictions), 7 (No Warranty), 8 (Limitation of Liability), and 11 (Governing Law) survive termination.

10. Export Compliance

The software may be subject to UK and US export control laws. You may not export, re-export, or transfer the software to any country, person, or entity restricted by those laws.

11. Governing Law and Jurisdiction

This EULA is governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, save that AgentCore LTD may seek injunctive relief in any competent jurisdiction to protect its intellectual property.
